Position Title: Associate General Counsel, ARI North America
Principal Work Location: NJ

Reports to: Vice President & General Counsel

Principal Purpose of Position:

  • To partner with ARI North America, Auto Truck Group (ATG) and Holman Parts Distribution (HPD) (collectively, 'Business Units' or 'BU's') and their management teams, to draft, negotiate, and review diverse transactional and business agreements, including contracts with clients, suppliers and other business partners.
  • To actively support the creation, implementation and maintenance of corporate legal compliance programs for ARI and the other BU's comprising Holman Business Services, and more broadly, to partner with the Vice President & General Counsel, to enhance compliance programs, globally.
  • To actively support Business Unit management teams to understand legal needs of the business, acting preventatively and proactively.
  • To provide advice and resolve routine issues as well as consult with outside attorneys when complex legal questions arise that require specialty input. 
  • To aid in identifying and mitigating risk in Business Units, and more broadly, to partner with the General Counsel, to enhance enterprise risk management,.
  • To serve as liaison for external legal relationships in North America, and support global legal relationships established by the General Counsel.
  • To support the HR function of the Business Units on personnel matters requiring legal guidance.
  • To manage investigations, administrative proceedings and litigation.
  • To assist the Vice President & General Counsel on other matters, when requested.

Education and/or Training:

  • Juris Doctor (J.D.) degree from an accredited university
  • Passed the bar exam in at least one state (If not admitted in NJ, will secure Mandatory NJ Inhouse License)

Relevant Work Experience:

  • Minimum six years' work experience in a law firm environment, preferably a large, multi-state, if not multi-country firm, preferably handling a variety of business and transactional matters, including negotiated M&A, financings, joint ventures, minority investments.
  • Minimum six years' work experience in an inhouse counsel position, preferably with a company providing B2B services on a platform of commercial contracts.
  • Inhouse experience should include contracts and commercial matters, drafting / negotiating contracts to provide services to clients / customers, contract compliance and client retention activities, inhouse transactional (e.g. M&A, joint ventures), litigation management, counseling and compliance matters. IP and software / other licensing a plus.
  • Excellent analytical, communication, legal research, and writing skills
  • Excellent knowledge of Microsoft Office products, and must be a fast and accurate typist.
  • Comfortable with learning and using SaaS applications and other apps.
